Emulex adds network monitoring with Endace acquisition
Emulex Corp. (NYSE: ELX), a provider of data center networking products, has issued a Takeover Notice, under the terms of the New Zealand Takeovers Code, pursuant to which Emulex will make an offer to acquire all of the outstanding equity interests in Endace Ltd. (LSE: EDA), in an all cash transaction.Endace is a network performance management company that provides network monitoring appliances, network analytics software, and ultra-high speed network access switching with what it asserts is 100% accuracy (see, for example, “Endace offers 100 Gigabit Ethernet network monitoring system”).Emulex intends to make a cash offer for 500 pence per share. Using the current exchange rate of $1.61 to the pound Sterling, this represents a transaction value of approximately $130 million. Grant Samuel in Auckland has been commissioned to provide an independent adviser's report, as required by the New Zealand Takeovers Code. The independent directors unanimously support the offer and, subject to the offer price being within or above the valuation range of Grant Samuel's report, recommend that Endace shareholders accept the offer.Emulex has entered into lock-up agreements with certain directors of Endace, including the chairman and co-founder, Dr. Ian Graham. Emulex has also received commitment letters from two other directors who are shareholders, as well as receiving expressions of support from another founder of the business, Selwyn Pellett. In addition, preliminary conversations with certain institutional shareholders of Endace have indicated general support for the proposed transaction."This acquisition provides Emulex with a strategic entry point into the network performance management space at a disruptive point in time, as speeds move to 10 Gbps, making network visibility from end-to-end a critical requirement in a converged network environment," said Jim McCluney, chief executive officer, Emulex. "Acquiring Endace aligns with our software-defined convergence strategy, doubles our total addressable market and places Emulex in another high-margin, high-growth market.”The combined expertise from the two companies will result in new and innovative ways to solve the challenges of network complexity and ensure application-level performance at speeds of 10 Gbps and beyond, according to Emulex. Endace's ability to record, visualize, and monitor network traffic provides customers with the ability to dynamically optimize application delivery across the infrastructure. By combining Emulex's network convergence adapters and Endace's network visibility capabilities, Emulex believes it will be the only company that can provide true end-to-end application visibility, optimization and acceleration."The Endace team is excited to be joining forces with Emulex. Telefonica picks Cisco routers for global network upgrade
Cisco (NASDAQ: CSCO) says Telefonica Global Solutions, part of the Telefonica Group, has selected Cisco for its enhanced Internet Protocol next-generation network (IP NGN). Telefonica's network connects more than 100 locations in more than 60 cities and 40 countries, including the main cities of Europe, Latin America, the United States, and Asia.The upgraded network will support new and future revenue-generating services and help ensure that Telefonica has the capacity to meet the needs of its global customer base. Integral to supporting this Internet growth will be the deployment of the IPv6-compliant Cisco CRS-3 and ASR 9000 Series routers for enhanced capacity, high resiliency, and robust IPv6 support, according to Cisco.Cisco says the CRS offers the possibility of future upgrading capacity for its core network with up to 400-Gbps-per-slot capability, high resiliency, and a cost-effective intelligent core solution to improve the return on investment for its core network. Cisco deploys Terastream network for Hrvatski Telekom in Croatia
Cisco (NASDAQ: CSCO) says Hrvatski Telekom, Croatia's largest telecommunications company, is using several of its products and services in Hrvatski’s new TeraStream cloud-enabled IP architecture.Hrvatski Telekom, a subsidiary of Deutsche Telekom, has launched the first live pilot network, which is delivering broadband services to residential users in the Zagreb area of Croatia.Cisco says it has been working with Deutsche Telekom since 2011 to develop and validate the TeraStream architecture. This open architecture is designed to substantially reduce network and system complexity, improve operational efficiency, and enable new IP cloud-based telecommunications services in a fraction of the time typically required.Key elements of the architecture include all-IPv6 streamlined routing architecture; fully converged IP and optical layers with 100G coherent technology; integrated cloud service centers, enabling virtualized network services and applications for rapid service innovation; programmatic interfaces aligned with the software-defined networking (SDN) architecture for real-time automation and OSS; and customer self-service management capabilities.Cisco has delivered a number of key technologies in what it calls a landmark deployment.The Cisco ASR 9000 Series Aggregation Services Routers provide the initial foundation of the TeraStream routing infrastructure, connecting end customers to services over 100-Gbps integrated optical links. With its experience in integrating routing and optical technologies, Cisco says it is enabling Deutsche Telekom and other service providers to build and operate fiber-optic networks that are simpler and more cost-effective to operate, and accelerate delivery of new services.TeraStream integrates cloud computing resources and application virtualization into the network, enabling what Cisco asserts is unprecedented speed and agility for new service deployment. Cisco Advanced Services, with its local Gold Certified partner Combis, 100% owned by Hrvatski Telekom, are delivering the project. Cisco's Agile Business Architecture (ABA) is the initial operation support system for TeraStream.
